  1. INTRODUCTION

Please read these terms of service (“Terms”) carefully before using this www.sooq365.com (“Site” or “Sooq365”) downloading, installing, or using our mobile application sooq365 (“Services”) are owned by H A D General Trading L.L.C. By accessing, registering, or using our Services, you agree to be bound by these Terms, including the disclaimers set forth below and the privacy policy. If you are not willing to be bound by these Terms, including the disclaimers, and privacy policy, you may not access or use our Services.

Sooq365 is a virtual shopping destination that offers an extensive range of products and services at affordable prices. Sooq365 provides its customers an enjoyable shopping experience with unlimited deals and discounts, making it the go-to place for those looking to save money while shopping online. For each purchase made on Sooq365, Sooq365 offers its customers a prize draw ticket, giving them a chance to win a prize.

  1. CHANGES TO TERMS OF SERVICE 

We reserve the right, at our discretion, to modify, add, or remove portions of these Terms at any time and each such change shall be effective immediately upon posting. Please check these Terms periodically for changes. Your continued use of Services following the posting of changes to these Terms will mean you accept those changes.

  1. AGE RESTRICTIONS

You must be 18 or over, or the legal age to form a binding contract in your jurisdiction if that age is greater than 18 years of age, to register with us or use the Services. If you are under the age of 18, you may not use the Services. Forming a binding contract for the Services is void where prohibited by applicable law, and the right to access the Services is revoked in such jurisdictions. By using the Services, you represent and warrant that you have the right, authority, and capacity to enter into these Terms and to abide by all of the Terms set forth herein.

  1. REGISTRATION

To utilize certain portions of the Services, you may be required to complete a registration process and establish an account with Sooq365 ("Account"). You represent and warrant that all information provided by you to Sooq365 is current, accurate, and complete, and that you will maintain the accuracy and completeness of this information on a prompt, timely basis.

  1. PASSWORD AND SECURITY

As a registered user of the Services, you may receive or establish a username and one or more passwords. You are solely responsible for maintaining the confidentiality and security of your password(s) and account(s). You understand and agree that you are individually and fully responsible for all actions and postings made from your Account(s). Any accounts you create are not transferrable. You agree to notify Sooq365 immediately if you become aware of any unauthorized use of your account(s).

  1. CERTAIN RESTRICTIONS. 

The rights granted to you in this Agreement are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Service, whether in whole or in part, or any content displayed on the Service; (b) you shall not modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Service; (c) you shall not access the Service in order to build a similar or competitive site, product, or service; and (d) except as expressly stated herein, no part of the Service may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means.  Unless otherwise indicated, any future release, update, or other addition to functionality of the Service shall be subject to this Terms.  All copyright and other proprietary notices on the Service (or on any content displayed on the Service) must be retained on all copies thereof. You agree to use the Services only for purposes that are permitted by (a) this Terms; (b) any applicable law, regulation, generally accepted practices, or guidelines in the relevant jurisdictions; (c) other terms and conditions may be applicable to certain specific products, services, offers or contest draws; and (d) any other applicable rules (including, without limitation, Facebook, Twitter and other social media Service rules).

  1. OWNERSHIP OF THE SITE OR SERVICES

All contents included on this Site or Services (including, without limitation, text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations and software) (the “Sooq365 Site Content”) are exclusive property of Sooq365. The compilation of all content on this Site is protected by laws of United Arab Emirates and international copyright laws. All software used on this Site is the property of Sooq365 or its software suppliers and is protected by laws of United Arab Emirates and international copyright laws. The Sooq365 Site Content may not be copied, distributed, modified, reproduced, published, or used, in whole or in part, without the prior written consent of Sooq365, except that you may download Sooq365 Site Content to any single computer for your personal use only, provided you keep intact all copyright, trademark and other proprietary notices and comply with any applicable end user license agreements. No part of any Sooq365 Site Content may be reproduced in any form or incorporated into any information retrieval system, electronic or mechanical, other than for your personal use in accordance with these Terms of use (but in no event for resale or redistribution). You may not frame or utilize framing techniques to enclose any name, trademarks, Service marks, Sooq365 Site Content, or other proprietary information of Sooq365 without first obtaining the express written consent of Sooq365.

  1. USER CONTENT

“User Content” means any Content (defined below) posted or otherwise submitted to our Services by an end user, whether by submission to a social media service, posting a comment, or otherwise. “Content” means User Content and any other text, photographs, graphics, code, data, software, and more, featured on our Services. Whenever new Content is added to the Services in the future, that Content will also be subject to these Terms.

    1. User Content.  "User Content" means any and all information and content that a User submits to, or uses with, the Service.  You are solely responsible for your User Content.  You assume all risks associated with use of your User Content, including any reliance on its accuracy, completeness or usefulness by others, or any disclosure of your User Content that personally identifies you or any third party.  You hereby represent and warrant that your User Content does not violate our Acceptable Use Policy (defined in Section 8(b)).  You may not represent or imply to others that your User Content is in any way provided, sponsored, or endorsed by Sooq365.  Because you alone are responsible for your User Content, you may expose yourself to liability if, for example, your User Content violates the Acceptable Use Policy. You are solely responsible for creating and maintaining your own backup copies of your User Content if you desire.
    2. Acceptable Use Policy.  The following terms constitute our "Acceptable Use Policy":
      1. You agree not to use the Service to collect, upload, transmit, display, or distribute any User Content (i) that violates any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (ii) that is unlawful, harassing, abusive, tortious, threatening, harmful, invasive of another’s privacy, vulgar, defamatory, false, intentionally misleading, trade libelous, pornographic, obscene, patently offensive, promotes racism, bigotry, hatred, or physical harm of any kind against any group or individual or is otherwise objectionable; (iii) that is harmful to minors in any way; or (iv) that is in violation of any law, regulation, or obligations or restrictions imposed by any third party.
      2. In addition, you agree not to: (i) upload, transmit, or distribute to or through the Service any computer viruses, worms, or any software intended to damage or alter a computer system or data; (ii) send through the Service unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of duplicative or unsolicited messages, whether commercial or otherwise; (iii)  use the Service to harvest, collect, gather or assemble information or data regarding other Users, including email addresses, without their consent; (iv) interfere with, disrupt, or create an undue burden on servers or networks connected to the Service, or violate the regulations, policies or procedures of such networks; (v) attempt to gain unauthorized access to the Service (or to other computer systems or networks connected to or used together with the Service), whether through password mining or any other means; (vi) harass or interfere with any other user’s use and enjoyment of the Service; or (vi) use software or automated agents or scripts to produce multiple accounts on the Service, or to generate automated searches, requests, or queries to (or to strip, scrape, or mine data from) the Service (provided, however, that we conditionally grant to the operators of public search engines revocable permission to use spiders to copy materials from the Service for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials, subject to the parameters set forth in our robots.txt file).
    3. Enforcement. Sooq365 reserves the right, but has no obligation, to review any User Content, and to investigate and/or take appropriate action against you in our sole discretion if you violate the Acceptable Use Policy or any other provision of this Agreement or otherwise create liability for us or any other person. Such action may include removing or modifying your User Content, terminating your Account, and/or reporting you to law enforcement authorities.
    4. Feedback.  If you provide Sooq365 with any feedback or suggestions regarding the Service ("Feedback"), you hereby assign to Sooq365 all rights in such Feedback and agree that Sooq365 shall have the right to use and fully exploit such Feedback and related information in any manner it deems appropriate.  Sooq365 will treat any Feedback you provide to Sooq365 as non-confidential and non-proprietary.  You agree that you will not submit to Sooq365 any information or ideas that you consider to be confidential or proprietary.
  2. PAYMENT AND REFUND
    1. If you make a payment for one of our Services, the details you are asked to submit will be provided directly to our payment provider via a secured connection. Please ensure you have read the applicable terms and conditions provided by your bank prior to the transaction.
    2. Multiple transactions by you for our Services may result in multiple postings to your monthly credit or debit card statement.
    3. The product prices displayed on our Service are inclusive of VAT. You may be charged in AED (United Arab Emirates' Dirham) or US Dollar (United States Dollar) depending on where you are using the Services from and what type of credit or debit card you are using. In such cases, there may be slight discrepancies in values due to changes in foreign exchange rates. We are not responsible and shall not compensate you for any loss that occurs due to these rate fluctuations. Sooq365 gives no warranties or representations whatsoever in relation to the exchange rates it provides for any transaction and is under no obligation to provide the best or most competitive exchange rates available.
    4. For any defective products sold by Sooq365, we will offer you a remedy in compliance with applicable laws. You acknowledge and agree that any refunds requested by you may affect your participation in Draws and chance to win Prizes (as set out in more detail in the Draw Terms). This is because your entry into the Draws are directly correlated to your purchase of the products and Services available on our Services.

  1. COPYRIGHT POLICY

Sooq365 respects the intellectual property of others and asks that users of our Service do the same.  In connection with our Service, we have adopted and implemented a policy respecting copyright law that provides for the removal of any infringing materials and for the termination, in appropriate circumstances, of users of our online Service who are repeat infringers of intellectual property rights, including copyrights.  If you believe that one of our users is, through the use of our Service, unlawfully infringing the copyright(s) in a work, and wish to have the allegedly infringing material removed, the following information in the form of a written notification must be provided to our designated Sooq365:

  1. your physical or electronic signature;
  2. identification of the copyrighted work(s) that you claim to have been infringed;
  3. identification of the material on our Service that you claim is infringing and that you request us to remove;
  4. sufficient information to permit us to locate such material;
  5. your address, telephone number, and email address;
  6. a statement that you have a good faith belief that use of the objectionable material is not authorized by the copyright owner, its agent, or under the law; and
  7. a statement that the information in the notification is accurate, and under penalty of perjury, that you are either the owner of the copyright that has allegedly been infringed or that you are authorized to act on behalf of the copyright owner.
  1. RELEASE.  

You hereby release and forever discharge the Sooq365 from, and hereby waive and relinquish, each and every past, present and future dispute, claim, controversy, demand, right, obligation, liability, action and cause of action of every kind and nature including without limitation personal injuries, death, and property damage, or for violation of any applicable Privacy laws, that has arisen or arises directly or indirectly out of, or that relates directly or indirectly to, the Services.

  1. PRIVACY

You acknowledge and confirm that you have read Sooq365 Privacy Policy, the terms of which are incorporated by reference herein, and agree that the terms of Sooq365 Privacy Policy are reasonable. You consent to the use of your personal information by Sooq365 and/or its third-party providers, partners, users, and affiliates in accordance with the terms of and for the purposes set forth in the Privacy Policy as may be amended from time to time in Sooq365 sole discretion.

  1. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SOOQ365 (OR OUR SUPPLIERS) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THIS TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF SOOQ365 AS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  ACCESS TO, AND USE OF, THE SITE OR SERVICE IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE OR LOSS RESULTING THEREFROM. 

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.  

In conjunction with the limitation of warranties as explained herein, you expressly understand and agree that our maximum liability for any claim against us shall be limited to an amount of AED 100, for use of our Services. 

  1. DISCLAIMERS 

THE SITE IS PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS, AND SOOQ365 (AND OUR SUPPLIERS) EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NONINFRINGEMENT.  WE (AND OUR SUPPLIERS) MAKE NO WARRANTY THAT THE SITE OR SERVICE WILL MEET YOUR REQUIREMENTS, WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE.  THE FOREGOING DISCLAIMER MAY NOT APPLY TO YOU IF YOU RESIDE IN A PLACE THAT DOES NOT ALLOW DISCLAIMERS OF IMPLIED WARRANTIES.

  1. SOOQ365 DRAW TERMS ("DRAW TERMS")
    1. In addition to your agreement with the Terms, the following provisions apply with respect to you participating in our contest draws ("Draw(s)") and winning the prizes ("Prize(s)").
    2. We may amend these Draw Terms at any point in time without notice and the amendments will take effect once they have been displayed on the Service. You acknowledge and agree that it is your responsibility to review these Draw Terms periodically to familiarize yourself with any modifications. Your continued use of the Service and/or entry into Draws following any amendments shall be construed as acceptance of those amendments.
    3. Draws will be approved by the relevant authorities in the UAE and are in accordance with the guidelines (as such they may be amended from time to time). A valid permit number will be issued for each respective Draw. Where Draws are being run from any other jurisdiction outside the UAE where we operate from, Sooq365 will obtain the necessary regulatory requirements and permits as stipulated by the law in such jurisdiction.
    4. Only users with a valid membership to the Service that satisfies all the Terms are eligible to enter into our Draws.
    5. The types of Draws vary on the Service. Each product purchased on the Sooq365 App or website and/or each Advert viewed on the Sooq365 App or website in accordance with these Terms is associated with a specific type of Draw whereby a user is awarded at least a single complimentary ticket ("Ticket") to that specified Draw after purchasing the product or viewing the Advert.
    6. If you purchase a product on the Sooq365 App or website, you will have the option to either:
      1. Contribute the purchased product to the Sooq365. In this case, Sooq365 will double your Ticket entry into the specified Draw so that two Tickets under your name will be in the Draw or award you with a fixed amount of token in your Wallet, depending on the offer attached to the campaign at the time of your purchase; and it depends on each Draw conditions or
      2. opt NOT to contribute the purchased product to Sooq365 and instead, either wish to collect the purchased product or pay an additional fee to have the purchased product delivered to a UAE-based address of your choice by a delivery partner of our choice.
    7. To collect your product, you must visit our premises within fifteen (15) calendar days from purchasing the product and present your valid identification (such as your national identification card, passport, driver's license, etc.) as may be required in our sole discretion. Sooq365 may, at its sole discretion, allow an individual who has been given a written, valid and effective Power of Attorney (POA) by you to collect the product, subject to them presenting the necessary identification. Sooq365 will evaluate any such reliance on a POA on a case-by-case basis and cannot guarantee that an individual with a POA from you will be allowed to collect the product on your behalf. Failure to collect the purchased product within this time frame will result in such product being contributed by Sooq365 without extra tickets or tokens in the user account.
    8. Sooq365 reserves the right, without prior notice, to consider any unutilized credit in your Wallet waived by you after a reasonable amount of time.
    9. Ticket numbers are computer generated and may not be sequential to the order in which the products they are associated with are purchased. You cannot choose Ticket numbers as they are generated only upon checkout and completion of purchase of the associated products.
    10. Tickets awarded to you through your use of our Service are neither refundable nor transferable and are owned solely and exclusively by you.
    11. The length of each Draw varies and the date when the Prizes are awarded can occur on any day of the week for the Draws that have 'sold out' a minimum of 24 hours prior to the day of the Draw and it depends on each Draw conditions. The Draw shall occur in the presence of a government representative, unless the government authority approves otherwise, and as such the results of any Draw are not subject to negotiation, interference, challenge, or argument by a user. The Draw date will be subject to the government representative's availability.
    12. The deadline to enter any Draw using your Ticket is prior to the sell-out of all products specified within the Draw, or prior to the closure of the Draw (which happens before the Draw date); or, in the case of a timed Draw, prior to the end of the timer displayed on the campaign box of the specific Draw. The period of the Draws can be extended at Sooq365's sole discretion, and we will notify you of any such extension.
    13. Winners of the Draws are selected by the government representative and will be notified on the day the Draw occurs. The names of winners may also be announced in the local and regional press as well as on our associated social (online) media profiles, Unless otherwise specified, the number of winners per Draw will be one or more and it depends of the draw type.
    14. On the Draw day or next day, an email will be sent to the registered email on the Service detailing the next steps and how you can claim the Prize, which may include the following:
      1. In the event the winner is based in the United Arab Emirates, then he/she needs to collect the Prize from our premises within sixty (60) calendar days and present valid identification as may be required, in our sole discretion, in order to collect the Prize. Failure to collect the Prize within this time will result in us transferring the Prize to the H A D General Trading L.L.C after which Sooq365 will have no further responsibility with respect to the Prize.
      1. In the event a winner does not reside in the United Arab Emirates, we will either courier the Prize to the winner by air or land (as we may determine in our sole discretion), or ship the Prize to the winner's country of residence (nearest seaport as selected by us in our sole discretion) under the winner responsibility and the winner will pay the ship charges and custom and any other fees, and we will insure shipment of the Prize until delivery thereof at the port. Collection from the port and clearance through the port and customs shall be the responsibility, and at the cost, of the winner. Accordingly, all local taxes, custom duties, and any fees will be paid by the winner.
    2. Once a Prize is handed to/collected by the courier/handler for international delivery after the winner pay the all fees, risk and responsibility will transfer to the winner and we no longer hold claim nor responsibility for any damage/injury incurred in transit, or upon delivery.
    3. By entering the Draw, all winners consent to the use of any and all content made by or provided to us. This includes but is not limited to the use of their name, photographs, videos, call recordings and other material created during the Draw, in the local and regional press, on the Service and on any social (online) media profile associated with us. You may choose to withdraw your consent at any time, but this may affect your entrance into a Draw.
    4. All Prizes displayed on our Service will be awarded, as displayed, with only minor (if any) physical changes.
    5. Where the registration or transfer of ownership of a Prize is necessary, such registration or transfer of ownership will be made against the name of the winner only, as it appears on the winning ticket. By entering the Draw of a Prize where registration or transfer of ownership is necessary, you agree that you meet the required government and regulatory criteria to receive such registration or transfer of ownership.
    6. If any winner is subsequently found ineligible to participate in the Draw, we may at our sole discretion reclaim the Prize or dispose of the same in such a manner and to such person as we deem fit. All such decisions will be in line with applicable laws.
    7. We will not be responsible for arranging any insurance, including travel insurance, medical insurance, transport, meals, or any other expenses of a personal nature incurred by the winner in the collection of the Prize, unless otherwise agreed by us in writing.
    8. We will not be responsible for claims, damages, or expenses of any nature whatsoever for any loss, illness, bodily injury, including death, of or to any winner and/or any third-party during and/or in course of usage of any Prize or due to any defects in any Prizes.
    9. Winners are responsible for any and all tax liability where applicable.

  1. ACCURACY OF INFORMATION

Although Sooq365 attempts to ensure the integrity and accurateness of the Site, it makes no guarantees whatsoever as to the correctness or accuracy of the content or information on the Site. It is possible that the Site could include typographical errors, inaccuracies or other errors, and that unauthorized additions, deletions and alterations could be made to the Site by third parties. In the event that an inaccuracy arises, please inform Sooq365.

  1. LINKS TO THIRD-PARTY APPLICATIONS

This Site may contain links to Site operated by other parties. Sooq365 makes no representations whatsoever about any other site that you may access through this Site. The linked sites are not under the control of Sooq365, and Sooq365 is not responsible for the content available on any other sites linked to this Site. Sooq365 disclaims all liability regarding your access to such linked sites. Sooq365 provides links to other sites as a convenience to users, and access to any other sites linked to this Site is at your own risk. It is up to you to take precautions to ensure that whatever you select for your use or download is free of such items as viruses, worms, trojan horses and other items of a destructive nature. If you decide to access any of the third-party sites linked to this Site, you do this entirely at your own risk.

  1. INDEMNIFICATION

You agree to indemnify and hold harmless Sooq365 and its officers, employees, and agents, including without limitation any costs or legal fees, from any claim or demand made by any third party due to or arising out of (a) your use of the Service, (b) your violation of this Terms, (c) your violation of applicable laws or regulations, or (d) your User Content.  Sooq365 reserves the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defence of these claims. You agree not to settle any such matter without the prior written consent of Sooq365. Sooq365 will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.

  1. COMPLIANCE WITH LOCAL LAWS

Users who choose to access this Site or the Services found at this Site are responsible for compliance with all local laws, rules, and regulations.

  1. GENERAL
    1. Changes. These Terms are subject to occasional revision, and if we make any substantial changes, we may notify you by sending you an email to the last email address you provided to us (if any), and/or by prominently posting notice of the changes on our Service. You are responsible for providing us with your most current email address. In the event that the last email address that you have provided us is not valid, or for any reason is not capable of delivering to you the notice described above, our dispatch of the email containing such notice will nonetheless constitute effective notice of the changes described in the notice.  These changes will be effective immediately for new users of our Service.  Continued use of our Service following notice of such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.
    2. Governing Law.

These Terms are governed by the laws in force in UAE and you irrevocably and unconditionally submit to the non-exclusive jurisdiction of the courts of UAE. These Terms may be published in English and Arabic. If there is any inconsistency between the English text and the Arabic text, the Arabic text will prevail apply. 

    1. Electronic Communications.  The communications between you and Sooq365 use electronic means, whether you use the Service or send us emails, or whether Sooq365 posts notices on the Service or communicates with you via email. For contractual purposes, you (a) consent to receive communications from Sooq365 in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Sooq365 provides to you electronically satisfy any legal requirement that such communications would satisfy if it were in a hard copy writing. The foregoing does not affect your non-waivable rights.
    2. Headings. The headings used in these Terms are included for convenience only and shall not limit or otherwise affect the terms and conditions herein, nor the shall they limit, influence, or otherwise affect the interpretation of the Terms contained herein.
    3. Severability. The Terms contained herein shall be deemed severable. In the event that any provision is determined to be unenforceable or invalid, such provision shall nonetheless be enforced to the fullest extent permitted by applicable law, and such determination shall not affect the validity and enforceability of any other remaining provisions.
    4. Copyright/Trademark Information.  Sooq365, all rights reserved.  All trademarks, logos, and service marks ("Marks") displayed on the Service are our property or the property of other third parties. You are not permitted to use these Marks without our prior written consent or the consent of such third party which may own the Marks.
    5. Force Majeure. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our Services that is caused by events outside our reasonable control ("Force Majeure Event").
    1.  A Force Majeure Event includes any act, event, non-happening, omission, or accident beyond our reasonable control and includes (without limitation) the following:

  • misuse, alteration or interference by you or any third party of our servers or systems (including virus and hacker attacks);
  • strikes, lockouts or other industrial action;
  • civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war;

  • impossibility of the use of public or private telecommunications networks; and
  • the acts, decrees, legislation, regulations or restrictions of any government.
  • Our performance of Services will be deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which our obligations may be performed despite the Force Majeure Event.
